Terms of Service

Welcome to SecureEscrow Kenya. By accessing or using our escrow services, you agree to be bound by these Terms of Service. Please read them carefully before proceeding with any transaction.
1. Definitions
In these Terms of Service:
- "SecureEscrow," "we," "us," or "our" refers to SecureEscrow Kenya Limited, a company registered in Kenya.
- "User," "you," or "your" refers to any individual or entity using our escrow services.
- "Buyer" refers to the party depositing funds into escrow for a transaction.
- "Seller" refers to the party providing goods or services in exchange for escrow funds.
- "Escrow Agreement" refers to the specific terms agreed upon for each individual transaction.
- "Transaction" refers to the entire process from fund deposit to release or refund.
2. Eligibility
To use SecureEscrow Kenya services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete identification information
- Not be prohibited from using our services under Kenyan law
3. Account Registration
3.1 Account Creation
To initiate or participate in an escrow transaction, you must register for an account. You agree to provide accurate, current, and complete information during registration.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.
3.3 Verification
We reserve the right to verify your identity and business information at any time. This may include requesting government-issued identification, business registration documents, or proof of address.
4. Escrow Services
4.1 Transaction Initiation
An escrow transaction begins when a Buyer and Seller agree on terms and the Buyer deposits funds into our designated trust account.
4.2 Fund Holding
All escrow funds are held in segregated trust accounts with licensed Kenyan financial institutions. These funds are not commingled with our operating accounts.
4.3 Inspection Period
Unless otherwise specified in the Escrow Agreement, Buyers have a 48-hour inspection period from confirmed delivery to examine goods or verify service completion.
4.4 Fund Release
Funds are released to the Seller only upon Buyer confirmation of satisfactory receipt. If the Buyer fails to respond within the inspection period, funds may be automatically released according to the Escrow Agreement.
5. Fees and Payment
5.1 Service Fees
SecureEscrow charges a service fee calculated as a percentage of the transaction amount. Current fee rates are published on our website and may be updated with notice.
5.2 Payment Methods
We accept payments via M-PESA, bank transfer, and approved payment cards. All payments must be made in Kenyan Shillings (KES) unless otherwise agreed.
5.3 Fee Responsibility
Unless otherwise specified in the Escrow Agreement, the Buyer is responsible for paying the escrow service fee in addition to the transaction amount.
6. Dispute Resolution
6.1 Dispute Initiation
Either party may initiate a dispute within the inspection period by contacting our support team. Upon dispute initiation, funds are frozen pending resolution.
6.2 Resolution Process
We encourage parties to resolve disputes amicably. If mutual resolution is not achieved, SecureEscrow will provide neutral arbitration based on the Escrow Agreement and available evidence.
6.3 Arbitration Decision
Our arbitration decisions are final and binding on both parties. Funds will be disbursed according to the arbitration outcome.
7. Prohibited Activities
You agree not to use SecureEscrow services for:
- Illegal activities or transactions prohibited by Kenyan law
- Fraudulent or deceptive practices
- Money laundering or terrorist financing
- Transactions involving prohibited items (weapons, illegal drugs, etc.)
- Circumventing our fee structure
8. Limitation of Liability
To the maximum extent permitted by law, SecureEscrow Kenya shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, business, or anticipated savings
- Damages resulting from third-party actions or omissions
- Damages exceeding the total fees paid for the specific transaction
9. Indemnification
You agree to indemnify and hold harmless SecureEscrow Kenya, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.
10. Termination
We reserve the right to suspend or terminate your account at our discretion, particularly in cases of suspected fraud, violation of these Terms, or as required by law.
11. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services constitutes acceptance of modified Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of Kenyan courts.
